Terms & Conditions
To ensure our clients fully understand all responsibilities during a project, we ask that you read and understand our terms and conditions. If you have any concerns or queries about these terms and conditions, please do not hesitate to contact MAPS Merchandise to discuss them with us. Once a school instructs us to commence work, MAPS Merchandise will take that instruction as an acceptance of our terms and conditions.
These are the terms and conditions of quotation and sale of all products and services supplied by Heyday Marketing Pty Ltd trading as MAPS Merchandise. Except as otherwise expressly agreed upon in writing between a duly authorised officer of MAPS Merchandise and the client, the terms and conditions shall apply notwithstanding any provisions to the contrary which may appear on any order form or other document issued by the client.
General
MAPS Merchandise quotations are valid for 14 days from acceptance of the quote.
All orders placed with MAPS Merchandise shall only be accepted subject to these terms and conditions, and MAPS Merchandise may, at any time, alter these terms and conditions. Such altered terms and conditions shall apply after notification by MAPS Merchandise to the client.
If a client cancels or alters any order, or any part of an order, at any time after MAPS Merchandise has received an order, then MAPS Merchandise reserves the right to render additional costs to the date of such cancellation or alteration.
We are a merchandise company providing branded goods to businesses and schools. The minimum order quantity for unbranded merchandise is 500 unless otherwise stated.
Terms of Payment
All payments should be paid in full within 7 days of invoicing. Payment shall be made by either direct electronic deposit, cash, cheque, Mastercard or Visa. In the event of a delinquent account, MAPS Merchandise shall be entitled to claim from the client all costs relating to any action taken by MAPS Merchandise to recover money due from the client. This includes any legal costs and disbursements on a solicitor-client basis and ceases any further delivery of services or products to the client that have not been delivered.
Copyright and Ownership
All ideas, designs, concepts, artwork, compositions, symbols and logos prepared or developed by MAPS Merchandise shall be the absolute property of MAPS Merchandise and the client shall not use such material in any media until the client makes payment to MAPS Merchandise.
The copyright for all purposes in any ideas, designs, artwork, compositions, symbols and logos prepared or developed by MAPS Merchandise (“the copyrighted work/product”) vests in MAPS Merchandise. In consideration of payment by the client in accordance with the terms of payment, MAPS Merchandise as the beneficial owner assigns to the client the finished copyright protected work or product (a) Notwithstanding the assignment/delivery to the client of the finished copyright protected work/product (a), MAPS Merchandise retains copyright ownership of draft concepts, draft electronic artwork files, draft compositions, draft symbols and logos created or prepared for the client pursuant to these terms and conditions but for any reason whatsoever not so utilised by the client. The client acknowledges MAPS Merchandise title in the draft artwork.
Notwithstanding the assignment/delivery to the client of the finished copyright protected work or product (a), MAPS Merchandise retains full ownership of all electronic artwork files, compositions, symbols and logos used to create the finished copyright protected work. MAPS Merchandise may use any artwork/design/draft design or product for its own promotion and portfolio.
Supply of Content
Unless otherwise negotiated, or MAPS Merchandise copywriting services are used, the client must provide content for their project at the start of the project. Graphics (logos, images, etc.) must also be provided if they are to be used. Copy should be as close as reasonably possible to final format, with accuracy of content, spelling and grammar having been previously checked and little or no formatting required.
MAPS Merchandise assumes all written content, images and logo’s supplied adheres to copyright laws. Images are also expected to be supplied before work begins, unless by prior negotiation or if using MAPS Merchandise photography or stock image services. Images should be provided in the highest resolution electronic format possible – i.e. logos and images must be in their original Illustrator or Photoshop format, or hi-res JPEG files (300 dpi).
MAPS Merchandise assumes that all correct permissions have been sought and that royalties have been paid for images used and supplied by the client.
Revisions
Unless otherwise quoted or negotiated, projects include up to two rounds of changes or author’s revisions. Following two revisions per project, an additional hourly fee will be charged. We will advise you and seek your agreement before proceeding with any work that will incur additional costs.
Quotes and Payment
Once you receive your quote after our initial discussions, please review it carefully to ensure that we have fully understood your requirements. If you have any queries, please contact us immediately to discuss. If you are happy with your quote and wish to proceed, please read these terms and conditions and send us an email indicating that artwork and quotes are approved and you would like us to commence work on your project.
Any orders to the value of $10,000 or larger, and/or any offshore produced order will require a 50% deposit be paid at the time of placement of the order. The balance will be paid on credit terms if the Customer has been approved for credit.
In the event of payment by credit card (Visa, MasterCard, American Express) merchants fees will be on charged to and payable by the Customer. These fees are currently Visa, MasterCard – 2.5%.Freight and/or handling charges apply to all deliveries and are payable by the Customer. These fees will be detailed in the original quote.
Returning Goods
Branded promotional products cannot be returned for credit unless they are faulty.
Faulty goods will only be accepted inside 21 days from dispatch date of order (other than returns for breach by MAPS Merchandise of the Australian Consumer Law); and Discrepancy claims against orders will only be accepted within 14 working days from receipt of order.
Project Timeframes, Structure and Changes
Once MAPS Merchandise and the client have agreed upon a timeframe, both parties need to work towards meeting this. We will do our utmost to meet our agreed deadlines for you, but we do expect clients to respond to requests for information or work for review promptly so we can meet your deadline.
Any delays in you supplying content,images, logo’s or reviewing drafts, etc. from that agreed, may cause delays which could affect your final deadline. In extreme cases where a client delays a project or is uncontactable for an extended period without reasonable cause, MAPS Merchandise reserves the right to deem a project complete, as outlined in our terms and conditions, and invoice accordingly.
If the structure of your project changes or you request additional work (as agreed), the initial quote will be reviewed to incorporate this extra work. Again, we will always advise you and seek your agreement before proceeding with any work that will incur additional charges.
Force Majeure
MAPS Merchandise shall not be liable for any failure or delay in supply or delivery of products or services where such failure or delay is wholly or partly due to any cause or circumstances whatsoever outside the reasonable control of MAPS Merchandise. These include, but are not limited to, war, strikes, lockouts, industrial disputes or unrest, government restrictions or transport delays, fire, power outages, failure attributable to hosting suppliers, a breakdown of plant, theft, vandalism, riots, civil commotions, accidents of any kind or act of terrorism.
